Terms of Service

These Terms govern the Conclave website at joinconclave.com, its apps, and related services. Conclave is operated by Saqbach, LLC, an Arizona limited liability company ("we," "us," or "our"). By creating an account or otherwise agreeing to these Terms, you enter into an agreement with Saqbach, LLC. If you do not agree, do not use Conclave.

Our Privacy Policy explains how we handle personal information. Nothing in these Terms limits consumer rights that the law where you live does not allow you to give up. Apple's Standard End User License Agreement also applies as explained in Section 6.

1 Your account

You must be at least 18 years old and legally able to enter into this agreement to use Conclave.

You sign in with Apple. Keep your account information accurate and your sign-in details and device secure. You are responsible for your use of the account and access you authorize. Do not sell, transfer, or share account credentials. Contact us promptly if you suspect unauthorized access.

2 Using Conclave responsibly

Use Conclave lawfully and respect other people's rights. Do not use it to harass, threaten, exploit, or harm anyone; provide unlawful content or malware; access accounts without permission; interfere with the service; bypass safety controls or usage limits; obtain free minutes through abuse; or resell access without our permission. Automated access must use interfaces we make available and stay within their permissions and limits. You may not use Conclave where applicable sanctions or export laws prohibit us from providing it.

You must have the rights and permissions needed for the content you provide, including other people's information or voices. Obtain any consent required before recording or transmitting someone else's speech. Consider who can hear your conversation or see your display.

Use immersive features in a safe space and follow Apple's device safety instructions. Virtual objects do not support your weight or replace awareness of your surroundings. Do not use Conclave while driving or doing anything that requires attention to physical hazards. Stop using the headset if you feel discomfort, dizziness, or disorientation.

3 Your content and our software

Your spoken input and other content remain yours and are private by default. You give us a nonexclusive, worldwide, royalty-free license to store, copy, process, and display that content only as needed to operate and protect Conclave, provide its features and support to you, carry out sharing you authorize, and comply with law. We may use service providers for those purposes. This permission does not let us sell your private conversations or use them in advertising.

The license ends when your content is deleted from our systems, except for limited retained copies and legal obligations described in the Privacy Policy. We do not claim ownership of AI output generated specifically for you, apart from pre-existing Conclave materials it contains. This does not grant rights in other people's content or promise that output qualifies for copyright protection.

Saqbach, LLC and its licensors own the Conclave software, branding, characters, virtual environments, and other materials we provide. We give you a limited, nonexclusive, nontransferable right to use the service for your own purposes while you follow these Terms. You may not copy, resell, or reverse-engineer our software except as permitted by law or an applicable open-source license. The app license is subject to Section 6.

4 Characters conversations and AI features

Conclave's characters are AI software with generated voices and responses. They are not people or licensed professionals. OpenAI processes relevant audio, conversation text, and context to provide speech, summaries, decision boards, recall, and web searches. Characters in a conversation can share the discussion's context. Summaries can be generated automatically during voice use to keep the conversation coherent.

Before voice use, the app asks whether you allow sharing voice and context with OpenAI. You can explore chambers without voice and withdraw that permission in Settings under Voice & privacy by turning Voice off. We do not use your private content to train our own general-purpose AI models, and we have not opted in to OpenAI training on Conclave API content. The Privacy Policy explains processing and retention.

Saving conversations is off by default and requires a separate choice. In these Terms, "Saved conversations" includes the conversation text, summaries, and boards or outcomes you save. All stored conversation content follows the same retention rule: while your paid subscription is active, we keep it for as long as the subscription remains active. When paid access ends, we keep existing saved conversations for 90 days after it ends. Without a subscription, saved conversations are kept for 90 days from the conversation's start or, for content saved on its own, its creation. After the applicable window, the content becomes unavailable and is deleted by scheduled cleanup. You can delete saved content or your account sooner.

Turning off auto-renewal does not start the 90-day window while paid access is still active. Minute packs do not extend retention. Starting or resuming a subscription preserves content still within its retention window; it does not restore expired or deleted content. Conversations created after a subscription ends receive their own 90-day window.

Preparing a saved summary uses minutes. A decision board is a temporary draft unless you press Save outcome. You can save a board even when automatic conversation saving is off. Turning saving off stops new uploads but does not erase existing saved conversations. The Privacy Policy explains the available controls.

When you ask a character to recall earlier information, relevant saved outcomes or conversations may be retrieved and sent to OpenAI. Web searches send a query derived from your request; avoid including private information in requests for public searches. Review a board before saving it. A character saying something is saved, scheduled, or sent does not establish that an action occurred; rely on the app's actual controls and confirmation.

AI output, captions, summaries, and search results can be wrong, incomplete, biased, out of date, or similar to someone else's output. Review them before relying on or sharing them, including any linked sources. We do not guarantee accuracy, uniqueness, or freedom from other people's rights. Interrupted conversations or failed uploads can leave incomplete records, and recall may omit earlier information. Keep separate copies of important information before it expires or you delete it.

Conclave supports conversation, exploration, and thinking through ideas. It does not provide medical, mental-health, legal, financial, or other professional advice, and it does not guarantee personal outcomes. It is not an emergency service. Conversations are not monitored to provide emergency assistance. If you need urgent help, contact local emergency services or a qualified professional.

5 Minutes memberships payments and refunds

Conclave offers free exploration and a one-time welcome allowance for eligible new accounts. You can add conversation minutes through one-time packs or monthly memberships (paid subscriptions) when offered. The app and Apple's purchase screen show the price, currency, billing period, included minutes, applicable taxes, and purchase conditions. Features and availability may differ by device, app version, or location.

Minutes are usage credits, not a guarantee of an equal number of clock minutes. They are deducted according to the service resources used, including live connection time and, when used, speech processing, summaries, AI reasoning, boards, and web searches. Consumption varies with the feature and conversation. A connected live session can use minutes while you are silent, muted, or waiting for a reply; end the conversation to stop ongoing connection use. Work already processed can still be charged if you interrupt it or its result is not displayed.

We temporarily reserve minutes while work is in progress and settle the reservation to recorded usage. A hold may remain while interrupted or uncertain usage is reconciled. The service may pause or stop a conversation when the available balance cannot cover further use. Contact us about a balance or charging error.

Paid memberships renew automatically each month until canceled. By purchasing a membership, you authorize recurring charges through your Apple account at the disclosed price. Cancel in your App Store subscription settings at least 24 hours before renewal. Cancellation stops future renewals; unused membership minutes carry over and remain available in your existing account. Pack minutes do not expire. Neither deleting the app nor deleting your Conclave account cancels an Apple subscription.

Apple processes purchases. Refund requests go through Apple's refund process and are subject to Apple's terms and applicable law. Contact us if you need help. Except where law requires otherwise or a refund is approved, purchases are nonrefundable. An approved refund or reversed purchase can remove the associated minutes and reduce the available balance, including when some refunded minutes have already been used.

Minutes have no cash value, are not transferable between accounts, and cannot be redeemed for money except where law requires. Voluntary account deletion forfeits unused minutes; they do not transfer to a replacement account. Deletion does not automatically request a refund. Cancel any membership and address refund questions before deleting your account.

We will give advance notice of membership price increases and material reductions to paid benefits so you can cancel before they apply. Normally they apply at renewal; earlier changes may be necessary for legal or security reasons. We will obtain consent and provide notices or remedies where required. Price or allowance changes do not remove minutes already credited to your account, except for refunds, corrections, or action permitted under these Terms. Material changes to how minutes are consumed will be disclosed before they take effect. If payment fails, new paid allowances may be withheld until payment is resolved.

6 Connected services and Apple apps

You choose whether to connect an outside assistant or application, such as ChatGPT or Claude, through an available connection. The authorization page identifies the application and requested access. Conclave's connector allows it to list and search saved conversations and read their saved text, summaries, and boards. It cannot start voice conversations, prepare new summaries, spend minutes, or change your data. Authorization can continue until disconnected or expired.

You can disconnect an application through the connected-app controls or contact us for help. Disconnection stops future authorized access but does not erase copies already received. Independent services and linked websites have their own terms and privacy practices. We do not control their independent actions; this does not remove our responsibility for our own service.

For the Apple app, Apple's Standard End User License Agreement governs the app license. These Terms supplement that agreement for your Conclave account and service. If a provision conflicts concerning the app license, the Standard EULA controls that license issue. These Terms do not reduce any rights you have under that agreement or mandatory consumer law. Apple's applicable purchase and subscription rules also apply.

7 Leaving Conclave and service changes

You can stop using Conclave and request account deletion in Settings under Delete account. Choose Delete my account and complete the Apple confirmation. Contact support@joinconclave.com if you need help or cannot use the app. Once accepted, deletion begins without a scheduled cancellation window: we block new account activity, revoke sessions and connected-app access, and erase saved conversations and their stored content. Profile removal completes after Apple access revocation and active voice cleanup. If a step cannot finish, deletion remains pending and its status can be checked in the app.

Request or keep any available copies you need before deletion. Conclave cannot restore deleted content or retrieve unsaved voice recordings for you. Limited retention of billing, security, backup, and provider records is described in the Privacy Policy. Deleting the app alone does not delete your account. Unused-minute forfeiture and subscription cancellation are explained in Section 5.

We may update chambers, characters, and features, interrupt service for maintenance, or suspend or end access for a material breach, abuse, security risks, nonpayment, or legal requirements. When reasonably possible, we will give notice, an opportunity to fix the issue, and a chance to retrieve available content. We may act immediately when necessary to protect people or the service, or comply with law.

If we permanently discontinue Conclave, we will give reasonable advance notice and an opportunity to retrieve available saved content where practicable. If we end your paid access early for reasons other than your breach, contact us about unused paid value and available remedies. We will assist with Apple's refund process and provide any refund or other remedy required by law. A requirement to contact Apple does not exclude obligations we have directly to you under applicable law.

8 Disclaimers and limits on liability

To the extent allowed by law, Conclave is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement. We do not promise uninterrupted, error-free, or completely secure service, or that content can always be recovered.

To the extent allowed by law, Saqbach, LLC and its members, managers, employees, and contractors are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or business opportunities, arising from Conclave or these Terms.

Their combined total liability for all claims arising from Conclave or these Terms is limited to US $100. This is a total limit, not a separate limit for each claim, and applies to claims in contract, negligence, or otherwise.

These exclusions and limits do not apply to fraud, intentional misconduct, gross negligence, death or personal injury caused by our negligence, or any liability or consumer remedy that cannot lawfully be excluded or limited. They do not reduce refunds we expressly promise in these Terms or rights preserved under Section 6.

9 Claims caused by misuse

To the extent allowed by law, you agree to reimburse Saqbach, LLC and its members, managers, employees, and contractors for reasonable losses and legal costs from a third-party claim caused by your intentional unlawful use of Conclave or your knowing infringement of another person's rights. This does not cover losses caused by our own conduct. We will notify you of the claim, allow you to participate in the defense, and will not agree to a settlement imposing obligations on you without your consent.

10 Disputes and applicable law

Contact support@joinconclave.com if a problem comes up so we can try to resolve it. Arizona law governs these Terms, except for mandatory protections under the laws where you live. Subject to those protections, disputes will be heard in state or federal courts in Maricopa County, Arizona, and both parties agree to those courts' jurisdiction. Nothing here restricts a right to use your local courts, small claims court, or a consumer authority where the law gives you that right.

11 Changes and general terms

We may update these Terms and will show the new effective date. We will give reasonable advance notice of material changes through the app or email, unless legal or security needs require faster action. Changes apply prospectively. Continued use after they take effect means acceptance to the extent allowed by law; we will request express agreement when required.

These Terms and the purchase terms presented to you form our agreement about the Conclave service, subject to the Apple license described in Section 6. They do not govern other Saqbach, LLC products. If one provision cannot be enforced, the rest remains effective. A delay in enforcing a right does not waive it. We may transfer this agreement as part of a merger, reorganization, or sale of Conclave if the new operator takes on our obligations and your mandatory rights are preserved. Ownership, accrued payment and refund obligations, and provisions about claims and disputes survive account closure as needed to give them effect.
